End User License Agreement

End User License Agreement

Tech Ally QuickBooks Online Integration
Effective date: September 17, 2026

This End User License Agreement (the “Agreement”) is a legal agreement between you (“you” or “User”) and Tech Ally Inc. (“Tech Ally”, “we”, “us”), a corporation located in Saint John, New Brunswick, Canada, governing your use of the Tech Ally QuickBooks Online Integration (the “Application”).

By installing, accessing, or using the Application, you agree to be bound by this Agreement. If you do not agree, do not install or use the Application.

1. The Application

The Application is an internal business tool that connects to QuickBooks Online in order to retrieve accounting and financial records belonging to Tech Ally and present them to authorized Tech Ally personnel for reporting and analysis.

The Application operates on a read-only basis. It is configured so that functions which would create, modify, or delete records in QuickBooks Online are not available.

2. Licence Grant

Subject to your compliance with this Agreement, Tech Ally grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Application solely for Tech Ally’s internal business purposes.

The Application is licensed, not sold. Tech Ally reserves all rights not expressly granted here.

3. Restrictions

You may not:

  • use the Application other than for Tech Ally’s internal business purposes;
  • sell, rent, lease, sublicense, distribute, or otherwise make the Application available to any third party;
  • copy, modify, translate, or create derivative works of the Application, except as permitted by applicable law;
  • reverse engineer, decompile, or disassemble the Application, except to the extent applicable law expressly permits it;
  • remove or obscure any proprietary notices;
  • use the Application to access any QuickBooks Online company file you are not authorized to access;
  • use the Application in any way that breaches applicable law or the terms of any third-party service it connects to.

4. Authorization and Credentials

Use of the Application requires authorization to the relevant QuickBooks Online company through Intuit’s OAuth process. You are responsible for safeguarding any credentials, tokens, or secrets used by the Application, for ensuring only authorized personnel can access it, and for promptly revoking access that is no longer required.

5. Relationship to Intuit

QuickBooks and QuickBooks Online are products of Intuit Inc. Tech Ally is not affiliated with, endorsed by, or sponsored by Intuit Inc. The Application is not an Intuit product.

Your use of QuickBooks Online is governed by your own agreement with Intuit. Nothing in this Agreement modifies that agreement or grants you any rights in Intuit’s services. Tech Ally is not responsible for the availability, accuracy, or behaviour of QuickBooks Online or any other third-party service.

6. Data and Privacy

The Application accesses accounting and financial data held in the connected QuickBooks Online company. This may include customer and vendor records, invoices, bills, payments, and financial reports.

Data retrieved by the Application is used solely to fulfil the request that prompted it. Tech Ally does not sell data obtained through the Application, and does not share it with third parties except as required to operate the Application, or as required by law.

Our handling of personal information is described in our Privacy Policy, which forms part of this Agreement.

7. Ownership

The Application, including all intellectual property rights in it, remains the property of Tech Ally and its licensors. Portions of the Application may be provided under open-source licences, and those licences continue to govern those portions.

8. Disclaimer of Warranties

The Application is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Tech Ally does not warrant that the Application will be uninterrupted, error-free, or secure, or that data it retrieves will be complete or accurate. Output from the Application is not accounting, tax, or financial advice and should not be relied upon as a substitute for your books of record or professional advice.

9. Limitation of Liability

To the fullest extent permitted by law, Tech Ally will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Application, regardless of the theory of liability and even if advised of the possibility of such damages.

To the fullest extent permitted by law, Tech Ally’s total aggregate liability arising out of or relating to this Agreement or the Application will not exceed one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you.

10. Term and Termination

This Agreement takes effect when you first use the Application and continues until terminated. Tech Ally may suspend or terminate your licence at any time, with or without notice. You may terminate at any time by ceasing use of the Application and revoking its access to QuickBooks Online.

Sections 3, 5, 7, 8, 9, 11, and 12 survive termination.

11. Changes to this Agreement

Tech Ally may update this Agreement from time to time. The revised version takes effect when posted at this address, with an updated effective date. Continued use of the Application after a change constitutes acceptance of it.

12. Governing Law

This Agreement is governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts of New Brunswick have exclusive jurisdiction over any dispute arising out of this Agreement, and you consent to that jurisdiction.

13. General

If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force. Tech Ally’s failure to enforce a provision is not a waiver of it. This Agreement is the entire agreement between you and Tech Ally regarding the Application, and supersedes any prior understanding on the subject.
